Terms of Service

1. Acceptance and Scope

These Terms of Service ('Terms') govern the use of the TUSH Oy ('TUSH', 'we') website at www.tush.fi and related services, as well as all orders and agreements entered into with TUSH. By accessing our website or placing an order, you agree to be bound by these Terms in full. If you do not agree, please refrain from using our services. TUSH reserves the right to amend these Terms; material changes will be communicated via the website and/or by email to registered customers at least 14 days before taking effect.

2. Description of Services

TUSH acts as an international import/export facilitator for seafood, hospital equipment, and skincare products between Finland (EU) and selected African countries. The service is intended primarily for business customers (B2B). All transactions are governed by separate order confirmations, quotations, or framework agreements specifying product- and shipment-specific terms.

3. Orders, Contract Formation & Pricing

Prices shown on the website and in quotations are stated in EUR, exclusive of VAT unless stated otherwise. Prices, product availability, and technical specifications may change without prior notice. A binding contract is formed only once TUSH has confirmed the order in writing (e.g., by email). Quotations issued prior to such confirmation do not constitute a binding offer by TUSH.

4. Delivery and Export Compliance

Delivery times are estimates and depend on logistics, customs clearance, export/import licensing procedures, and other factors beyond TUSH's reasonable control. The customer is responsible for obtaining any necessary import permits and ensuring imported goods comply with the laws of the destination country. Delivery terms (Incoterms) are agreed on a per-order basis.

5. Payment Terms

Payment terms are set out individually in each order or framework agreement. Unless otherwise agreed, a deposit is invoiced prior to shipment, with the balance due per the agreed delivery terms. In the event of late payment, TUSH is entitled to charge statutory interest under the Finnish Interest Act (633/1982) and to recover collection costs.

6. Product Quality, Compliance & Liability for Defects

TUSH takes reasonable steps to ensure that products supplied meet applicable EU and international quality and safety standards (including, where applicable, the EU Medical Device Regulation (MDR) for hospital equipment and EU food safety regulations for seafood products). Claims regarding defects must be submitted in writing within seven (7) days of receipt of the goods. Manufacturer warranty terms take precedence for equipment-specific warranty matters.

7. Limitation of Liability

TUSH's aggregate liability for any single order is limited to the value of that order. TUSH is not liable for indirect, incidental, or consequential damages, including loss of profit or business interruption, except in cases of intent or gross negligence. Nothing in these Terms limits any rights that cannot be excluded under mandatory law.

8. Force Majeure

TUSH is not liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, governmental action, import/export restrictions, pandemics, or transport disruptions.

9. Governing Law and Dispute Resolution

These Terms and any agreements formed under them are governed by the laws of Finland, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG), unless expressly agreed otherwise. The parties will first seek to resolve any dispute through good-faith negotiation. Failing resolution, disputes shall be settled by the competent courts of Finland, unless the parties have separately agreed to arbitration.
